Terms of Use – Upload Nations

Welcome to Upload Nations, a service provided by Upload Nations Media Pvt Ltd (“Upload Nations”, “we” “our”, or “us”). These Terms of Use govern your use of (“website”), our mobile and desktop apps (if available ) (our “Apps”) and all related players, widgets, tools, features, applications, data, software, APIs (which may also be subject to separate API Terms of Use) and other services provided by Upload Nations (the “Services”). These Terms of Use constitute a legally binding contract (the “Agreement”), between you and Upload Nations in relation to your use of the Website, Apps and Services (together, the “Platform”).

1. Acceptance of Terms of Use

Please read these Terms of Use, Privacy Policy and Community Guidelines, very carefully. If you do not agree to any of the provisions set out in those documents, you should not use the Website, Apps or any of the Services.

By accessing or using the Platform, registering an account, purchasing or subscribing to any Paid Services, or by viewing, accessing, streaming, or uploading any content, you signify your agreement to be bound by these Terms of Use. Your acceptance applies equally to both Free Services and Paid Services offered by Upload Nations.

Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You authorize Upload Nations (and its processors) to charge your payment method on a recurring basis. You must cancel before the renewal date to avoid the next

If a payment fails or is reversed, you authorize Upload Nations to retry the charge and to use any payment method on file. We may suspend or limit Paid Services until all amounts are paid. You remain responsible for unpaid amounts, plus any reasonable costs arising from chargebacks or collection.

If a trial or promotional period applies, it will convert to a paid subscription at the end of the trial at the then-current price unless you cancel before the trial ends. Trials are limited to one per user/account unless we state otherwise. No refunds or credits are provided for partially used trials or promotions.

Cancellations or downgrades take effect at the next renewal. We do not provide prorated credits or refunds for any remaining time in the current billing cycle.

2. Changes to Terms of Use

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time by posting the amended Terms on our Website or Apps. When we make any material changes to these Terms, we will provide you with notice as appropriate under the circumstances (e.g., by displaying a prominent notice within the Platform or by sending you an email). If a modification materially affects your rights or obligations with respect to a Paid Service or subscription, Upload Nations will provide you with reasonable prior notice before the changes become effective.

You should check these Terms and our Privacy Policy periodically. Your continued use of the Platform, including any continued use of Paid Services after the effective date of the changes, constitutes your acceptance of the revised Terms of Use.

3. Eligibility

You must be at least thirteen (13) years old to use the Platform. If you are between the ages of 13 and 18, you must have parental or guardian consent to use the Platform.

By registering to use the Platform, you represent and warrant that you are at least 13 years old and that you have the capacity to enter into this Agreement. If you purchase or subscribe to any Paid Services, you further represent and warrant that you have the legal capacity to enter into binding financial transactions under applicable law. Upload Nations may suspend or terminate accounts created in violation of these requirements.

4. Upload Nations - The Platform

For purposes of these Terms, “Platform” includes the Website, Apps, embeddable players and widgets, dashboards/analytics, application programming interfaces (APIs), and any other products, services, and features made available by Upload Nations, including both Free Services and Paid Services.

In order to make the Platform available for free and provide you with personally relevant features, we may serve tailored ads on the Platform on behalf of third-party advertisers. To that end, we may use information that you make available to us when you interact with the Platform to inform the nature of the ads we show you and provide you with a customized experience. More information on how we use data to show you personalized ads is described in our Privacy Policy. Ads and sponsored placements do not constitute endorsements by Upload Nations. Your choices and controls for advertising and cookies are described in the Privacy Policy.

We may, from time to time, release new tools and resources on the Website, release new versions of our Apps, or introduce other services and/or features for the Platform. Any new services and features will be subject to these Terms of Use as well as any additional terms and conditions that we may release for those specific services or features Upload Nations may add, modify, or remove features from time to time; see the “Changes to the Platform” and “Disclaimer” sections. [Added – subscription gating] Certain features, tools, or Opportunities may be available only to users on specific subscription tiers or paid plans; access and billing are governed by the Paid Services section of these Terms (no refunds for non-use or discontinuation of features). For clarity, these Terms govern general use of the Platform and do not replace any separate written agreements you may enter into with Upload Nations (e.g., distribution, broadcast, sync or other service-specific contracts), which will control the specific services they cover.

5. Your Upload Nations account

You are not obliged to register to use the Platform. However, access to the Apps and certain Services is only available to registered users. As an example, our App, Upload Nations Pulse, enables registered users, who upload and make available their Content to other users, to receive instant feedback on the performance of their tracks, communicate with their listeners, and manage their Content anytime.

When you register to use the Platform, you will provide us with your email address, and will choose a username and password for your account. You must ensure that the email address that you provide is, and remains, valid. Your email address and any other information you chose to provide about yourself will be treated in accordance with our Privacy Policy.

You are solely responsible for maintaining the confidentiality and security of your username and password, and you will remain responsible for all use of your username and password, and all activity emanating from your account, including without limitation purchases, subscriptions, and use of Paid Services, whether or not such activity was authorized by you. Upload Nations will not be liable for any losses, charges, or damages resulting from unauthorized use of your account credentials, including fraudulent purchases or chargebacks. If your username or password is lost or stolen, or if you believe that your account has been accessed by unauthorized third parties, you must notify Upload Nations in writing immediately, and should change your password at the earliest possible opportunity.

We reserve the right to disallow, cancel, remove or reassign certain usernames and permalinks in appropriate circumstances, as determined by us in our sole discretion, and may, with or without prior notice, suspend or terminate your account if activities occur on that account which, in our sole discretion, would or might constitute a violation of these Terms of Use or our Community Guidelines, or an infringement or violation of the rights of any third party, or of any applicable laws or regulations.

6. Using Upload Nations

You agree that you will not:

copy, rip, capture, reproduce, communicate to the public, transfer, make available to the public, or otherwise use any part of the Platform or its content in a manner which is not expressly permitted under these Terms of Use;
use the Platform to upload, post, store, transmit, display, copy, distribute, promote, make available or otherwise communicate to the public: (a) any Content that is abusive, libelous, defamatory, pornographic or obscene, that promotes or incites violence, terrorism, illegal acts or hatred on grounds of race, ethnicity, cultural identity, religious belief, disability, gender, identity or sexual orientation, or is otherwise objectionable in Upload Nations’s reasonable discretion; (b) any Content in violation of, or infringing upon, the rights of any third party, including copyright, trademark, moral rights, privacy rights, rights of publicity, or any other intellectual property or proprietary rights; or (c) any Content that violates, breaches or is contrary to any law, rule, regulation, court order, or is otherwise illegal or unlawful in Upload Nations’s reasonable opinion;
use the Platform to impersonate any person or entity, or to falsely state or otherwise misrepresent your affiliation with a person or entity;
use the Platform to send spam, including but not limited to unsolicited advertising or promotional materials, bulk messaging, or to engage in any other form of solicitation;
use the Platform to interfere with or disrupt the Platform or servers or networks connected to the Platform, or disobey any requirements, procedures, policies or regulations of networks connected to the Platform;
use the Platform to collect or store personal data about other users without their express permission;
use the Platform to exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content, asking for personally identifiable details, or otherwise;
use the Platform in any manner intended to damage, disable, overburden, or impair the Platform, or interfere with any other party’s use and enjoyment of the Platform;
use any automated means, including robots, spiders, scrapers, bots, click-farms, or similar devices, to access, monitor, copy, or artificially interact with any part of the Platform; you specifically agree not to use such means to inflate plays, views, streams, likes, followers, or other metrics;
attempt to gain unauthorized access to the Platform, accounts, computer systems, or networks connected to the Platform, through hacking, password mining, or any other means;
probe, scan or test the vulnerability of the Platform or any network connected to the Platform, or breach security or authentication measures;
reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Platform;
use the Platform to upload, distribute, or otherwise make available any viruses, worms, trojan horses, corrupted files, or other items of a destructive or deceptive nature;
use the Platform to engage in any activity that is fraudulent, unlawful, manipulative, or otherwise prohibited by these Terms of Use, including but not limited to streaming fraud, chart manipulation, or artificial traffic generation;
use the Platform in any manner inconsistent with these Terms of Use; or
use the Platform in any way that could bring Upload Nations into disrepute.

In addition to any other remedies, Upload Nations reserves the right to (i) remove or block content, (ii) suspend or terminate your account, (iii) withhold or forfeit payments otherwise due under any agreement with Upload Nations, and (iv) deduct or recover from you any penalties imposed on Upload Nations by DSPs, collection societies, or other third parties as a result of such prohibited conduct.

7. Grant of Usage

Subject to your strict compliance with these Terms of Use and our Community Guidelines at any and all times during your use of the Platform, Upload Nations grants you a limited, personal, non-exclusive, revocable, non-assignable and non-transferable right and license to use the Platform in order to view Content uploaded and posted to the Website, to listen and watch audio and video Content and to share and download audio Content using the features of the Platform where the appropriate functionality has been enabled by the user who uploaded the relevant Content (the “Uploader”).

Certain functionality (including downloads, analytics, submissions to Opportunities, or promotional tools) may be available only on specific subscription tiers or paid plans; your access to such features is governed by the Paid Services section (fees are non-refundable). This licence is for your personal, non-commercial use unless expressly authorized by Upload Nations in a separate written agreement.

In addition, if you register to use the Platform, and subject to your strict compliance with these Terms of Use and our Community Guidelines at any and all times during your use of the Platform, Upload Nations grants you a limited, personal, non-exclusive, revocable, non-assignable and non-transferable right and license to: (i) submit, upload or post Content to and keep such Content available on the Platform; (ii) participate in the community areas and communicate with other members of the Upload Nations community; and (iii) use Apps and other Services provided as part of the Platform strictly as permitted in accordance with any terms applicable to those Apps or Services from time to time.

This licence does not transfer any ownership in the Platform, the Apps, or any Content (other than Your Content).

8. Your Content

Any and all audio, text, photos, pictures, graphics, comments, and other content, data or information that you upload, store, transmit, submit, exchange or make available to or via the Platform (“Your Content”) is generated, owned and controlled solely by you, and not by Upload Nations. Upload Nations does not claim any ownership rights in Your Content.

By uploading Your Content, you grant Upload Nations a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and make available Your Content for operating and promoting the Platform.

You also grant other users a non-exclusive license to access and use Your Content for personal, non-commercial purposes.

You are solely responsible for Your Content and agree to indemnify Upload Nations against any claims arising from it.

9. Grant of License

By uploading or posting Your Content, you authorize Upload Nations to host, store, reproduce, distribute, and make available Your Content as necessary to provide the Services.

You also grant limited rights to other users and linked platforms to access and use Your Content within the Platform’s functionality.

Removal of Your Content will result in deletion from Upload Nations systems, but copies may remain temporarily on other services or user devices.

10. Representations and Warranties

You represent and warrant that:

(i) you own or have rights to Your Content;

(ii) Your Content does not infringe any third-party rights;

(iii) Your Content is lawful and not harmful;

(iv) all permissions and consents have been obtained.

You agree to indemnify Upload Nations from any claims arising from breach of these warranties.

11. Liability for Content

Upload Nations acts as a hosting platform and does not actively monitor user content.

Upload Nations disclaims liability for any user-generated content and any damages arising from it.

You access content at your own risk and remain solely responsible for Your Content.

12. Reporting Infringements

If you believe content infringes your rights, you may notify Upload Nations with full details including identification of the work, location of infringing content, and proof of ownership.

Upload Nations may investigate and take appropriate action, including content removal.

Upload Nations will comply with applicable laws and may act on court or authority orders.

13. Third party websites and services

The Platform may contain links to third-party websites or services that are not owned or controlled by Upload Nations. Upload Nations has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

If you access a third-party website or service from the Platform, you do so at your own risk, and you understand that these Terms of Use and our Privacy Policy do not apply to your use of such sites.

Certain Paid Services may require integration with or delivery through third-party digital service providers (DSPs), social media platforms, analytics services, or payment processors. Your use of such services is subject to their separate terms and conditions, and Upload Nations makes no representations or warranties regarding them.

Upload Nations shall not be liable for any takedowns, restrictions, data loss, delays, or damages caused by third-party services, including but not limited to DSPs (Spotify, Apple, YouTube, Instagram), app stores, or payment gateways.

Links or integrations provided on the Platform do not imply endorsement, sponsorship, or affiliation by Upload Nations.

14. External services

You are solely responsible for taking the precautions necessary to protect yourself from fraud when using External Services, and to protect your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content and material that may be included on or may emanate from any External Services. Upload Nations disclaims any and all responsibility or liability for any harm resulting from your use of External Services, and you hereby irrevocably waive any claim against Upload Nations with respect to the content or operation of any External Services.

Your use of External Services (including DSPs, social platforms, payment gateways, and analytics tools) is subject to their own terms, policies, and privacy practices; Upload Nations does not endorse or control them and provides no warranties regarding their availability, security, accuracy, or outcomes. To deliver certain Services, Upload Nations may share limited account and submission information with External Service providers and partners in accordance with the Privacy Policy. You are responsible for any costs, losses, or damages arising from your interactions with External Services, including phishing, scams, or malware, and for maintaining up-to-date security software.

15. Participation in opportunities

Upload Nations serves as a platform for various musician seekers like FM radios, Publications, Recording studios etc. (“Promoters”) to host and publish various kinds of opportunities for musicians in form of contests, call for music entries etc (“Opportunities”). You are requested to read terms and conditions of such Opportunities carefully. You acknowledge that Upload Nations only provides a platform to connect Promoters and musicians and Upload Nations has no role in the execution or provision of such opportunities. Upload Nations is not the party to any relationship or contract (expressed or implied), dealing or any kind of interaction between you and the Promoters and therefore has no liability whatsoever in connection with such opportunities.

You are solely responsible for ensuring the credibility and legality of such Opportunities and absolve Upload Nations of any liability thereof. Further, Upload Nations would not be responsible/liable for any dispute arising in connection with such Opportunities including without limitation its terms and conditions, delay, fulfilment or non-payment of any promised consideration or rewards, delays or non-declaration of results, commission of any fraud, unauthorised use of the content submitted.

Opportunities may be restricted based on eligibility, territory, or subscription plans. Participation does not guarantee selection, prizes, or results.

16. Blocking and removal of content

Upload Nations reserves the right to block or remove Content at any time, with or without notice, for any reason including but not limited to Content that, in its sole discretion, is in breach of these Terms of Use or is otherwise offensive, illegal, or harmful.

Upload Nations may act upon complaints, infringement notices, or its own review.

Upload Nations shall not be liable for any loss of data, revenue, or opportunities resulting from such removal.

17. Repeat infringers

Upload Nations may terminate accounts of users who are repeat infringers.

A repeat infringer includes users with multiple valid complaints or repeated violations of these Terms.

Upload Nations may remove all associated content, block re-registration, and take further action including withholding payments where applicable.

18. Paid Services, subscriptions and refunds

Certain Services require payment of fees, which may be one-time, recurring, or usage-based. By purchasing Paid Services, you agree to pay all applicable fees.

Subscriptions renew automatically unless cancelled before renewal. No refunds or credits are provided for partial usage, unused time, or downgrades.

Upload Nations may suspend services for failed payments and recover outstanding amounts.

Fees are exclusive of taxes. All payments are non-refundable except where required by law or in cases of billing errors.

Chargebacks may result in account suspension, forfeiture of earnings, and recovery of associated costs.

Upload Nations does not guarantee any results from Paid Services.

19. Disclaimer

The Platform is provided “as is” and “as available” without warranties of any kind.

Upload Nations does not guarantee uninterrupted, secure, or error-free operation of the Platform.

All warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.

Upload Nations does not guarantee any specific results such as plays, revenue, or success.

20. Limitation of Liability

In no event shall Upload Nations’s total liability exceed the greater of ₹1,000 or the amount paid by you in the last three months.

Upload Nations shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or opportunities.

Upload Nations is not responsible for actions of third parties, including DSPs or other users.

Nothing in these Terms excludes liability where it cannot be excluded under law.

21. Indemnification

You hereby agree to indemnify, defend and hold harmless Upload Nations, its successors, assigns, affiliates, agents, directors, officers, employees and shareholders from and against any and all claims, obligations, damages, losses, expenses and costs, including reasonable attorneys’ fees, resulting from:

(i) any violation by you of these Terms of Use,

(ii) any third party claim of infringement of copyright or other intellectual property rights or invasion of privacy arising from the hosting of Your Content on the Platform, and/or

(iii) any activity related to your account, whether or not such activity is authorized by you.

Without limiting the foregoing, your indemnity shall also cover claims relating to Your Content, your use or misuse of Paid Services, any chargebacks or fraudulent transactions, streaming fraud or manipulation, and any penalties imposed on Upload Nations by DSPs, platforms, or regulators due to your actions.

This indemnity obligation shall survive termination of your account or these Terms of Use.

22. Data protection, privacy and cookies

All personal data that you provide in connection with your use of the Platform is collected, stored, used, and processed by Upload Nations in accordance with the Privacy Policy.

Upload Nations uses cookies and similar technologies to improve user experience and analyze usage. Details are provided in the Privacy Policy.

By using the Platform, you consent to such data practices.

23. Competitions and other promotions

From time to time, users may promote competitions or promotions on the Platform (“Third Party Competitions”).

Upload Nations is not responsible for such competitions and bears no liability for their execution or outcomes.

You are responsible for reviewing applicable terms before participating.

Any competitions organized directly by Upload Nations will have separate official rules.

24. Use of Upload Nations players and widget

The Platform includes customizable players (“Players”) and embeddable widgets (“Widget”).

These tools allow users to share Content across websites and platforms.

You may not use these tools to replicate the Platform, create competing services, or imply endorsement by Upload Nations.

Upload Nations may restrict or block usage of Players or Widgets at its discretion.

25. Changes to the Platform

Upload Nations reserves the right to modify, suspend, or discontinue any part of the Platform at any time.

Users may be notified where practicable, but Upload Nations is not liable for any changes or discontinuation.

No refunds or credits are provided for Platform changes, as governed by Paid Services terms.

26. Termination

You may terminate your account by deleting it and ceasing use of the Platform.

Upload Nations may suspend or terminate your account for violations of these Terms or other reasonable circumstances.

Termination does not entitle you to refunds.

Upon termination, your Content and account data may be deleted, subject to legal retention requirements.

Certain provisions survive termination, including liability, indemnity, and legal clauses.

27. Assignment to third parties

Upload Nations may assign its rights and obligations under this Agreement to any third party without notice.

You may not assign your rights without prior written consent from Upload Nations.

This Agreement binds successors and assigns.

28. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force.

Invalid provisions will be modified to reflect original intent where possible.

29. Entire agreement

These Terms of Use, along with the Community Guidelines and Privacy Policy, constitute the entire agreement between you and Upload Nations.

They supersede any prior agreements related to Platform use.

Separate written agreements (e.g., distribution or licensing) will govern their specific services.

30. Third party rights

These Terms do not grant rights to any third party except as expressly stated.

Only you and Upload Nations have enforceable rights under this Agreement.

31. Force majeure

Upload Nations is not liable for delays or failures caused by events beyond its control, including natural disasters, war, internet failures, or third-party disruptions.

Obligations are suspended during such events.

32. No partnership/agency

Nothing in these Terms creates any partnership, joint venture, or employment relationship between you and Upload Nations.

33. Governing Law and Jurisdiction

This Agreement is governed by the laws of India.

You and Upload Nations agree to the exclusive jurisdiction of courts in New Delhi, India for dispute resolution.

Disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in New Delhi.

Upload Nations retains the right to seek equitable relief where necessary.
