Terms and Conditions

            UPLOAD NATIONS – Digital Distribution Agreement

 

Effective Date: Upon account creation or first upload

Company Name: UPLOAD NATIONS (“Upload Nations”, “We”, “Us”, “Our”)

You: The individual or legal entity creating and using an Upload Nations account (“You”, “Artist”, “Rights Holder”).

 

 

1. ACCEPTANCE OF TERMS

 

By creating an account, uploading content, or using any service offered by Upload Nations, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not upload any content and discontinue use of the service.

 

 

2. REPRESENTATION & WARRANTIES

 

By using Upload Nations, you confirm and guarantee that:

 

  • You legally own or control 100% of the rights to the sound recordings, musical compositions, artwork, data, and metadata you upload.

  • Your content does not infringe upon any copyright, trademark, publishing rights, moral rights, neighboring rights, or any third-party ownership.

  • You have full authority to grant Upload Nations the rights outlined below.

  • All submitted information, including artist names, credits, ISRCs, metadata, contributors, and royalty splits, is accurate, complete, and truthful.

 

Upload Nations reserves the right to request proof of ownership at any time.

 

 

3. GRANT OF RIGHTS

 

You grant Upload Nations a non-exclusive, worldwide, revocable license to:

 

  • Distribute, deliver, and monetize your content across digital platforms, including but not limited to Spotify, Apple Music, YouTube, Instagram, JioSaavn, Wynk Music, Amazon Music, TikTok, Meta Platforms, streaming services, mobile apps, telecom services, and future digital platforms.

  • Encode, reformat, store, archive, manage, and distribute your content.

  • Collect royalties, revenue, and payments on your behalf.

  • Use your name, bio, artwork, logos, and artist information strictly for promotion and distribution.

 

This license does not transfer ownership. You retain full copyright.

 

 

4. CONTENT MODERATION & FRAUD PREVENTION

 

Upload Nations may remove or suspend content if:

 

  • Fraud, artificial streaming, playlist manipulation, bot plays, unauthorized samples, or metadata falsification is detected.

  • Rights ownership is disputed or unverifiable.

  • Platforms issue takedown or legal inquiries.

 

Revenue generated through fraudulent or policy-violating activity may be withheld, refunded, or permanently forfeited.

 

 

5. ROYALTIES & PAYOUTS

 

  • Upload Nations will collect earnings reported by DSPs and make them available in your artist dashboard.

  • Payout timelines depend on DSP reporting cycles and may take 30–120 days.

  • Minimum withdrawal thresholds may apply.

  • Any tax, banking, GST, or processing fees are the responsibility of the account holder.

 

Upload Nations is not liable for delays caused by DSPs, banks, or third-party payment partners.

 

 

6. TERM & TERMINATION

 

This agreement continues until terminated by either party.

 

You may request takedown at any time. DSP removal may take 15–90 days, depending on platform response.

 

Upload Nations may terminate or suspend access if:

 

  • You violate this Agreement or DSP policies.

  • Fraud or illegal activity is suspected.

  • Required ownership or identity verification is not provided.

 

Upon termination, royalties due (excluding withheld earnings for fraud or unresolved disputes) will be paid.

 

 

7. INDEMNIFICATION

 

You agree to indemnify, defend, and hold Upload Nations harmless from any claim, dispute, legal cost, or financial loss arising from:

 

  • Copyright infringement

  • Rights ownership disputes

  • Misrepresentation or fraudulent activity

  • Unauthorized samples, beats, or third-party intellectual property

 

 

8. LIMITATION OF LIABILITY

 

Upload Nations is not responsible for:

 

  • Platform downtime

  • Streaming fluctuations

  • Lost revenue due to takedowns

  • Third-party reporting delays

  • Changes in DSP policies

 

In no event shall Upload Nations’ liability exceed the total royalties paid to you in the previous 12 months.

 

 

9. GOVERNING LAW & JURISDICTION

 

This Agreement is governed by the laws of India.

 

Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the Courts of New Delhi, India.

 

 

10. AMENDMENTS

 

Upload Nations may update this Agreement when necessary. Continued use of the platform constitutes acceptance of updated terms.
