This document constitutes an electronic record under the Information Technology Act, 2000, including its amendments and applicable rules. It is generated by a computer system and does not require physical or digital signatures. By completing the acceptance procedure on the Upload Nations platform and receiving a copy of this Agreement via your registered email, you acknowledge and agree to be legally bound by its terms.

 

This Agreement is entered into between [Legal Name] (“You”), representing the artist/band [Stage Name], and Upload Nations, a UK-based digital music distribution company providing global distribution, promotion, and monetization services. You confirm that you have full authority to enter into this Agreement on behalf of the artist/band.

 

By entering into this Agreement, you agree to engage Upload Nations on an exclusive basis for the distribution, promotion, and monetization of your sound recordings. The term “Content” includes all sound recordings, artwork, metadata, lyrics, and related materials delivered by you. Your use of the platform is also governed by Upload Nations’ Terms of Use and Privacy Policy, and in case of conflict, this Agreement shall prevail.

 

You hereby grant Upload Nations an exclusive license, without transferring ownership, to exploit your sound recordings worldwide during the term of this Agreement. This includes the right to distribute, promote, monetize, stream, sell, and license the Content across all existing and future platforms and technologies. Upload Nations may also sublicense these rights to third parties.

 

This license includes digital exploitation rights such as distributing your Content on streaming platforms, enabling downloads, monetizing through telecom and mobile services, and streaming via interactive and non-interactive services. Upload Nations is also authorized to create and manage content identification systems for platforms like YouTube, Instagram, Facebook, and TikTok, including claiming, monetizing, tracking, or blocking unauthorized usage of your Content. These rights apply strictly to sound recordings and do not include publishing rights unless separately agreed.

 

You also grant Upload Nations non-exclusive synchronization rights, allowing them to pitch your Content for use in films, advertisements, games, and other audio-visual media. However, your prior approval is required before finalizing any such deal, and you remain free to independently negotiate synchronization licenses.

 

Upload Nations is further authorized to license your sound recordings for public performance and broadcast across platforms such as radio, television, and commercial venues. For clarity, publishing and composition rights are excluded unless covered under a separate agreement.

 

For promotional purposes, Upload Nations may create promotional content, including videos, art tracks, and marketing materials using your Content. These promotional activities may be carried out across digital platforms and media channels without any additional royalty obligation.

 

Upload Nations may exploit your Content either directly or through its partners, affiliates, and digital service providers worldwide. This Agreement shall commence on the date of signing and will continue for a minimum period of twelve months from the first commercial release. You may terminate the Agreement after this period by providing thirty days’ written notice. Upon termination, Upload Nations will initiate takedown procedures, while retaining the right to collect revenues generated prior to termination.

 

In consideration of services, Upload Nations shall pay you eighty-five percent of the net income received from digital exploitation of your Content, retaining fifteen percent as its share. For synchronization deals secured by Upload Nations, you will receive seventy percent of net income, while Upload Nations retains thirty percent. Payments will be made quarterly, subject to a minimum threshold, and applicable taxes will be deducted as per law.

 

Upload Nations reserves the right to determine pricing, run promotional campaigns, and structure monetization strategies at its discretion. You agree that you are solely responsible for ensuring that you own or control all rights in the Content and that it does not infringe any third-party rights. You must obtain all necessary permissions from contributors and ensure that no unauthorized samples or materials are included.

 

You further agree not to engage in fraudulent activities such as artificial streaming manipulation. Any such activity may result in penalties, withholding of royalties, content removal, or termination of the Agreement.

 

Upload Nations will make best efforts to distribute your Content globally and provide access to tools and analytics; however, it does not guarantee placement on specific platforms. Upload Nations also reserves the right to remove any Content that violates laws, platform policies, or third-party rights.

 

Either party may terminate this Agreement in case of a material breach that is not cured within thirty days of notice. Upon termination, rights granted under this Agreement will cease, but obligations relating to payments, indemnification, and prior activities will continue.

 

Upload Nations may update or modify its services, features, or pricing structure at any time. You are responsible for maintaining backup copies of your Content and ensuring the accuracy of all submitted metadata and information.

 

To the fullest extent permitted by law, Upload Nations shall not be liable for any indirect or consequential damages, including loss of revenue, platform errors, or delays in payments caused by third parties. Its liability, if any, shall be limited to the earnings generated from your Content in the six months preceding the claim.

 

You agree to indemnify and hold Upload Nations harmless from any claims arising out of copyright infringement, metadata errors, unauthorized use, disputes with collaborators, or violations of platform policies. This includes any penalties imposed by digital service providers due to fraudulent activity or misrepresentation.

 

This Agreement shall be governed by applicable laws of the United Kingdom and/or India, and disputes shall be resolved through arbitration where possible. Both parties agree that their relationship is that of independent contractors, and this Agreement constitutes the entire understanding between them.

 

All notices under this Agreement shall be communicated via registered email. Upload Nations may assign its rights under this Agreement, while you may not do so without prior written consent.

 

Annexures forming part of this Agreement include Content details, bank account information, and video rights permissions, all of which remain integral to the Agreement.
